A limited partnership is a type of business structure in which two or more partners join together to run a business. In a limited partnership, there are two types of partners: general partners and limited partners.
General partners are responsible for managing the business and are personally liable for the partnership’s debts and obligations. They also have unlimited liability, meaning that their personal assets could be used to pay off any debts incurred by the partnership.
Limited partners, on the other hand, are passive investors who contribute capital to the business but do not participate in the day-to-day management of the partnership. They have limited liability, which means that they are only liable for the debts and obligations of the partnership up to the amount of their investment.
Limited partnerships are often used for investment purposes, particularly in real estate and private equity. They offer the benefits of limited liability for passive investors, while allowing general partners to retain control over the business and its operations.
